The New CSP Framework

 

The New CSP Framework refers to the updated regulatory structure governing Company Service Providers (CSPs) in Malta, introduced through Act X of 2025. These changes aim to enhance proportionality and oversight in the sector, especially for individuals offering directorship or company secretary services.

 

The main updates are:

  • Introduction of Limited CSPs: individuals offering services to ten or fewer entities must now register with the Malta Financial Services Authority (MFSA) as Limited CSPs. This category faces lighter compliance obligations.
  • Introduction of Restricted CSPs: individuals providing services to no more than five entities across two corporate groups, and not doing so “by way of business,” must notify the MFSA using a new notification form. This includes people who may have previously been exempt from registration. Restricted CSPs must submit their notification by 16 July 2025 to remain compliant.
  • Fee and exemption: the framework introduces new fees and expands exemptions; for example, directors of holding companies of licensed entities may now be exempt.
  • New rulebooks and guidance: MFSA has issued updated rulebooks and guidance notes to help individuals and firms navigate the new requirements.
